The following is a contract that I will send you if you request to do business with me.

This agreement is made on ______ by and between the Client, ______, and the Designer, Arden Meade-Esvang. In consideration of the mutual agreement made herein, both parties agree as follows:

Work: The Designer agrees to produce project materials at the request of the client for fees agreed upon in advance and delivery of the Work by an agreed-upon deadline, if any. Designer agrees that he will be the sole author of the Work, which will be original work and free of plagiarism. Designer will cooperate with Client in editing and otherwise reviewing the Work prior to completion and launch.

Revisions: The Designer agrees to grant the Client two free revisions before charging a revision fee of $30 for each subsequent revision. The Client acknowledges this privilege.

Confidentiality: Designer agrees to protect the confidentiality of the Client’s proprietary information and all physical or electronic forms thereof, whether disclosed to Designer before this agreement is signed or afterward. Unless strict confidentiality is requested by Client in advance of the establishment of this contract, Designer can display materials and final work created for Client on the Designer’s website (

Compensation: The Client acknowledges that for all jobs in which the base price exceeds $20, 20% of the base price must be paid in advance, otherwise, the Client acknowledges that he has the privilege to withhold any payments to the Designer until a final design is reached, and a workable file is requested. The Client agrees to pay the Designer before any workable files are delivered to the Client. If the parameters of the Work change, or if it involves more time than estimated, Designer will inform Client and they can renegotiate the Work’s cost. Designer is responsible for the payment of all federal, state, and/or local taxes with respect to the services he performs for the client as an independent contractor. The Client will not treat Designer as an employee for any purpose.

Client Approval: Upon acceptance of the Work, Client accepts responsibility for any further processes in which this work is used (e.g. film outpost, printing, etc.) Designer is not responsible for errors occurring in this work or projects related to this work after acceptance of the Work by the Client. The Designer agrees to make any revisions under the Client’s request for 30 days after the project’s initial completion. However, a $30 revision fee will apply.

Cancellation: Both parties understand that Client or Designer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written or verbal cancellation, Client is not responsible for payment for any expenses incurred or any work done towards the completion of the project after the project’s termination. Should the Client cancel the project following its completion, Client is responsible for full payment as per the agreed upon estimate plus all expenses incurred. In the event of cancellation, Designer retains ownership of all copyrights and original work created.

Fees: The client agrees to the possible fees mentioned in this contract in addition to a Hassle Fee, Expenses Fee, Additional Work Fee, and Short Deadline Fee.

A Hassle Fee will be applied when a task directly related to completion of the work is deemed arduous by the designer. Before such a task is completed, the Designer agrees to notify the Client of the possible fee and to halt any work towards the project until an agreement is made. The fee is applied only when the Client insists that the arduous task must be completed after discussion with the Designer.

An Expenses Fee applies when a task directly related to completion of the work requires the purchase of an external service or product. The Designer agrees to get the Client’s approval before purchasing an external service or product.

An Additional Work Fee is applied when additional work not mentioned in the original agreement  is requested by the Client.

A Short Deadline Fee is applied when a task is requested to be completed within a short time frame. The Client agrees to inform the Designer of any deadlines before any work on the project is started. The Designer agrees to inform the Client if a deadline is considered a short time frame. What is considered a short time frame is dependent on the Designer’s current work schedule. The Designer agrees to inform the Client if a time frame is considered unrealistic and work on the project will not commence.

Acceptance of Terms: Client promises to pay for the services rendered by Designer for the Work as agreed upon. By responding with “I accept,” Client agrees they have read, understood, and are considered legally bonded to these terms.
